Terms of Service
These terms govern access to and use of Parlay, including web, mobile, and related services (the “Service”). By creating a workspace or using Parlay you agree to these terms.
1. The service
Parlay provides team chat, direct messages, file sharing, and voice/video features for organisations. Features may evolve; we may add, change, or remove functionality with reasonable notice where practical.
2. Accounts and workspaces
- You must provide accurate signup information and keep credentials secure.
- You are responsible for activity under your account and for members you invite.
- Workspace admins control membership, roles, and settings for that workspace.
- You must be able to form a binding contract and use the Service in compliance with applicable law.
3. Acceptable use
You must not use Parlay to:
- Break the law, infringe IP or privacy rights, or distribute malware.
- Harass, abuse, or exploit others; or upload unlawful content.
- Probe, overload, or disrupt the Service or other customers’ workspaces.
- Resell or provide the Service to third parties as your own without our written agreement.
We may suspend or terminate access for violations, security risk, or non-payment.
4. Your content
You retain ownership of content you submit. You grant Mirai a limited licence to host, process, transmit, and display that content solely to operate the Service for your workspace. You represent you have the rights needed to submit that content.
5. Trials and fees
- New workspaces may receive a free trial as described at signup or on our pricing page (currently 14 days unless stated otherwise).
- After trial, continued use of paid features requires an active paid plan (card or invoice, depending on billing mode).
- Prices are in Australian dollars (AUD) and may be stated exclusive or inclusive of GST as indicated at purchase or on invoices. We may change prices with notice to the billing contact.
- Fees are non-refundable except where required by law or expressly stated.
6. Confidentiality and security
We implement reasonable safeguards described in our Privacy Policy. You are responsible for member access control, endpoint security, and lawful use of content within your organisation.
7. Availability
We aim for high availability but do not guarantee uninterrupted Service. Planned maintenance and force majeure may affect access. Voice/video quality depends on network conditions and device capabilities (including TURN/relay where configured).
8. Disclaimers
To the maximum extent permitted by law, the Service is provided “as is”. We disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Nothing in these terms excludes rights that cannot be excluded under the Australian Consumer Law.
9. Liability
To the maximum extent permitted by law, Mirai’s aggregate liability arising out of the Service is limited to the fees paid by you for the Service in the 3 months before the claim. We are not liable for indirect, consequential, or lost-profit damages, or for loss of content where you failed to maintain your own backups of critical data.
10. Termination
You may stop using the Service at any time. We may suspend or terminate for breach, non-payment, or risk to the platform. Upon termination, your right to access the workspace ends; we may delete data after a retention period in line with our Privacy Policy.
11. Changes
We may update these terms by posting a revised version. Continued use after the effective date constitutes acceptance, except where acceptance must be express under law.
12. Governing law
These terms are governed by the laws of Western Australia, Australia. Courts of that jurisdiction have exclusive jurisdiction, subject to any non-excludable consumer rights.
